Pursuant to the provisions of Article II, Section 203 of the Town Charter and in accordance with Sections 42-46-2., 42-46-4., 42-46-5., and 42-46-6., RIGL, I hereby call a Special Meeting of the Town Council to formally consider, discuss and act upon the following items of business. All items on this agenda may be considered, discussed and voted upon.

Also present were Town Administrator Shawn Brown and Town Solicitor Peter B. Regan.
School Committee Chair Theresa Spengler called the School Committee meeting to order.
Present were School Committee Chair Theresa Spengler, Vice Chair Tami Holden, Member Wendy E. Heaney and Superintendent of Schools William Niemeyer.
1. Memorandum of Town Administrator, re: Change Order for HMFH’s Architectural Services.
On motion of Vice President Welch, duly seconded, it was voted unanimously to receive said memorandum.
Town Administrator Shawn Brown reviewed the memorandum above.
Justin Bernard, representing Colliers, and Matt LaRue, representing HMFH Architects, were present to answer Council inquiries.
Discussion centered around the $190,000,000 bond dollars are not changing, $170,000,000 is for the new Middle/High School construction and the remaining is for the current High School renovation to become the Upper Elementary and Administration building, there are two different construction managers for the projects, both projects fall within the $190,000,000 dollars, the change order is a change to the project which was expected and referenced in a prior memorandum, Colliers scrutinizes each change order reviewing costs and time, the School Building Committee votes to send any change orders over $25,000 to the School Committee and Town Council, both projects have contingency funds built in, it is very unusual to not have change orders in a $190,000,000 project, the project will be at the 60% construction development phase in about three to four months, School project documents will be placed on the Town website for the public to view and the project should break ground in the Spring 2025.
2. Resolution of the Council, re: Authorizing change order for HMFH’s Architectural Services, change order is from the School Improvement Bond Proceeds and all expenses recorded in the School Department’s Capital Projects Fund and the Town Administrator is authorized to execute said change order on behalf of the Town.
On motion of Vice President Welch, duly seconded, it was voted unanimously to pass said resolution.
School Committee Chair Theresa Spengler read the following into the record.
1. Consider and Vote on Resolution authorizing Change Order Number One regarding HMFH’s Architectural Services.
RESOLUTION
The Town of Middletown put forward a request for qualifications for architectural services for the Rhode Island Department of Education Stage II & III Necessity of Construction Plan for the Middletown School Department that were forwarded for review and recommendation to the Town Council. After review, the Town Council awarded the agreement to HMFH/DBVW Architects.
A request has been made to the Middletown School Committee to approve a certain change order (change order number one) in the amount of nine hundred sixty-four thousand, five dollars and zero cents (964,005.00) for the elementary school complex renovation & limited site survey.
1. That funding for Change Order Number One referred to above is hereby approved and paid from the School Improvement Bond Proceeds and all expenses recorded in the School Department’s Capital Projects Fund.
2. The Town Administrator is authorized hereby to execute this change order on behalf of the Town of Middletown School Committee and School Department.
On motion of School Committee Chair Spengler, duly seconded, it was voted unanimously to pass said resolution.
On motion of Vice Chair Holden, duly seconded, it was voted unanimously to adjourn the School Committee meeting at 6:27 pm.
3. Resolution of the Council, re: AUTHORIZING THE ISSUANCE OF UP TO ONE HUNDRED NINETY MILLION DOLLARS ($190,00,000) AS APPROVED BY NOVEMBER 7, 2023 BALLOT AUTHORIZATION, WHICH SHALL BE USED TO FINANCE THE CONSTRUCTION, FURNISHING AND EQUIPPING OF A MIDDLE SCHOOL AND HIGH SCHOOL AND THE RENOVATION, IMPROVEMENT, ALTERATION, REPAIR, FURNISHING AND EQUIPPING OF SCHOOL FACILITIES THROUGH THE TOWN AND ALL ATTENDANT EXPENSES INCLUDING, BUT NOT LIMITED TO, DEMOLITION, ENGINEERING, ARCHITECTURAL AND LANDSCAPING COSTS.
On motion of Vice President Welch, duly seconded, it was voted unanimously to pass said resolution.
