The following items of business, having been filed with the Town Clerk under the Rules of the Council, will come before the Council at a special meeting to be held on Thursday, January 11, 2024 at 5:30 P.M. at the Middletown Town Hall, 350 East Main Road, Town Council Chambers, Middletown, Rhode Island. Said meeting will be conducted in person.

Dear Ms. Marshall:
Pursuant to the provisions of Article II, Section 203 of the Town Charter and in accordance with Sections 42-46-2., 42-46-4., 42-46-5., and 42-46-6., RIGL, I hereby call a Special Meeting of the Town Council to formally consider, discuss and act upon the following items of business. All items on this agenda, may be considered, discussed and voted upon.
1. Executive Session - Pursuant to provisions of RIGL, Sections 42-46-2, 42-46-4 and 42-46-5 (a), (5) Land Acquisition - review, discussion and/or potential action and/or vote in executive session and/or open session.
Said meeting will be held at the Middletown Town Hall, 350 East Main Road, Town Council Chambers, Middletown, Rhode Island 02842 on Thursday, January 11, 2024 at 5:30 P.M.

1. Executive Session - Pursuant to provisions of RIGL, Sections 42-46-2, 42-46-4 and 42-46-5 (a), (5) Land Acquisition - review, discussion and/or potential action and/or vote in executive session and/or open session.
On motion of Vice President Welch, duly seconded, it was voted unanimously to recess open session and reconvene in executive session at 5:34 p.m.
On motion of Vice President Welch, duly seconded, it was voted unanimously to recess executive session and reconvene in open session at 5:59 p.m.
On motion of Vice President Welch, duly seconded, it was voted unanimously to authorize the Town Administrator to sign documents #2, #3, #4 & #5 and the Tax Assessor to sign document #1 related to the approval of Pennrose, LLC as the affordable housing developer for the town projects at 650 Green End Avenue and 26 Oliphant Lane, including the following letters:
1. Sample real estate tax letter supporting 8%
2. Designation of developer/site control letter (MOU)
3. Commitment letter for CDBG funds
4. Ground lease payment letter
5. Side letter - terms Land Development Agreement and Ground Lease
On motion of Vice President Welch, duly seconded, it was voted unanimously to seal the executive session minutes pursuant to Section 42-46-7. RIGL.
On motion of Vice President Welch, duly seconded, it was voted unanimously to adjourn said meeting at 6:00 p.m.
